Terms of Service
These Terms of Service govern your use of RemitParse, operated by RemitParse. By using the Service, you agree to these Terms.
1. Use of the Service
RemitParse is a software tool designed to help CPG companies process distributor remittance advice files and prepare accounting entries. You may use the Service only for lawful business purposes.
You agree not to:
- Use the Service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service
- Reverse engineer or attempt to extract the source code of the Service
- Use the Service to process data you do not have the right to process
- Resell or sublicense access to the Service without our written consent
2. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@remitparse.com if you suspect unauthorized access.
3. Your Data
You retain ownership of all data you upload to RemitParse. By uploading files, you grant us a limited, temporary license to process those files solely for the purpose of providing the Service. Remittance files are processed in memory and are not retained after your session ends. See our Privacy Policy for full details.
If you connect your QuickBooks Online account, you authorize RemitParse to read Items, Customers, Classes, and Departments, and to create Credit Memos on your behalf. We store your OAuth credentials encrypted at rest and delete them immediately upon disconnect. We do not access, read, or modify any other QuickBooks data.
4. Accuracy of Outputs
RemitParse automates the extraction and formatting of remittance data. While we work hard to ensure accuracy, we make no guarantee that outputs are error-free or suitable for your specific accounting requirements. You are responsible for reviewing all outputs before importing them into your accounting system.
RemitParse is not a licensed accounting, financial, or legal advisor. Always consult a qualified professional for matters specific to your business.
5. Payment and Billing
Paid subscriptions are billed monthly. You may cancel at any time and your access will continue until the end of the current billing period. We do not offer refunds for partial months. We reserve the right to change pricing with 30 days notice.
6. Service Availability
We aim to provide reliable service but do not guarantee 100% uptime. We may perform maintenance or experience downtime beyond our control. We are not liable for losses resulting from service interruptions.
7. Intellectual Property
The RemitParse software, design, and content are owned by us and protected by applicable intellectual property laws. These Terms do not grant you rights to our trademarks, logos, or proprietary technology beyond the right to use the Service as described.
8. Limitation of Liability
To the maximum extent permitted by law, RemitParse shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the three months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless RemitParse from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination & Data Deletion
You may cancel your account at any time from your account settings page. Upon cancellation, your access continues until the end of the current billing period.
Upon account cancellation or termination, we will delete your company data — including profile configurations, coding history, and any stored QuickBooks credentials — within 30 days. Remittance files are never stored, so there is nothing to delete for those. Server logs are retained for up to 30 days for security purposes, after which they are purged automatically.
To request immediate deletion of your data prior to the 30-day window, email info@remitparse.com with the subject line "Data Deletion Request." We will confirm deletion within 5 business days.
We may suspend or terminate your access at any time if we believe you have violated these Terms, with or without notice.
11. Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of California.
